App: wishlist flow
1. Eligibility and Installation
- To use this App, you must have an active and valid Shopify store.
- You are responsible for ensuring that the App's configuration matches your store's theme and settings.
2. License and Free Usage
- Free Forever: The App is currently provided to merchants completely free of charge. All features, including the wishlist setup, cart tracking, and discount application, are free to use.
- We grant you a limited, non-exclusive, non-transferable, and revocable license to use the App solely on your Shopify store.
- We reserve the right to modify, update, or discontinue any feature of the App at any time without prior notice.
3. Wishlist and Discount Functionality
- Discount Code Abuse: The App automates discounts when a customer moves an item from their wishlist to the cart. You are responsible for configuring the correct discount rates in your Shopify admin. We are not responsible for any financial loss caused by misconfigured discount rates or unintended coupon applications.
- Theme Compatibility: While we strive to support standard Shopify themes, we do not guarantee that the wishlist UI button/popup will work perfectly with all custom or third-party Shopify themes.
4. Limitation of Liability
- The App is provided on an "AS IS" and "AS AVAILABLE" basis.
- We do not guarantee that the App will be 100% error-free, uninterrupted, or compatible with all other third-party Shopify apps.
- In no event shall we be liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to loss of profits, revenue, data, or customer goodwill arising from the use or inability to use the App.
5. Termination
- You can terminate this agreement at any time by simply uninstalling the App from your Shopify admin panel.
- Upon uninstallation, your access to the App’s dashboard will cease, and your configuration data will be handled as per our Privacy Policy.
6. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
6.1 Jurisdiction: Any disputes, claims, or proceedings arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Surat, Gujarat, India.
6.2 Dispute Resolution: Before initiating any legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days from the date of written notice of the dispute.
If the dispute remains unresolved after 30 days, it shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be:
- Conducted by a sole arbitrator mutually agreed upon by both parties.
- Held in English language.
- Conducted in Surat, Gujarat, India.
- Final and binding on both parties.
6.3 International Merchants: While these Terms are governed by Indian law, Xavier Apps acknowledges its obligations to comply with applicable local laws in jurisdictions where merchants operate, to the extent required by law.
6.4 Exception for Injunctive Relief: Nothing in this section shall prevent either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction where necessary to protect intellectual property rights or confidential information.
