1. Acceptance of Terms

By installing or using any application developed by Xavier Apps (the App), you agree to be bound by these Terms and Conditions (Terms). If you do not agree, do not install or use the App.


2. Description of Service

Our apps are designed to enhance merchant functionality on the Shopify platform. Each app may provide features such as store lock banner page, store content locks, depending on its purpose. We reserve the right to modify, suspend, or discontinue any feature of the App at any time without prior notice.


3. Eligibility

To use our apps, you must:

  • Be at least 18 years old.
  • Have a valid Shopify store and comply with Shopify's Terms of Service.


4. Merchant Responsibilities

  • You are responsible for ensuring the accuracy of information provided through the App.
  • You agree not to misuse the App, including attempts to disrupt, hack, or reverse engineer its functionality.
  • You are solely responsible for compliance with applicable laws and regulations regarding your store and business operations.


5. Data Usage & Privacy

Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. Please review our Privacy Policy carefully.


6. Fees & Payments

Some apps may be offered free of charge, while others may require a subscription or one-time fee. Pricing details will be listed on the Shopify App Store listing for each app.

All payments are processed through Shopify's billing system. By installing a paid app, you authorize Shopify to charge your account according to the plan selected.


7. Intellectual Property

All intellectual property rights related to the App, including but not limited to software, logos, trademarks, and documentation, are owned by Xavier Apps.

You may not copy, modify, distribute, or create derivative works without prior written consent.


8. Disclaimer of Warranties

The App is provided "as is" and "as available". We do not guarantee that the App will be error-free, uninterrupted, or fit for a particular purpose.


9. Limitation of Liability

To the maximum extent permitted by law, Xavier Apps shall not be liable for:

  • Any indirect, incidental, or consequential damages.
  • Loss of profits, revenue, or data arising from the use of the App.
  • Any issues caused by third-party services (including Shopify).


10. Termination

We may suspend or terminate your access to the App at any time, without notice, if you violate these Terms.


11. Changes to Terms

We may update these Terms from time to time. Continued use of the App after changes are published means you accept the updated Terms.


12. Governing Law & Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

12.1 Jurisdiction Any disputes, claims, or proceedings arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Ahmedabad, Gujarat, India.

12.2 Dispute Resolution Before initiating any legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days from the date of written notice of the dispute.

If the dispute remains unresolved after 30 days, it shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be:

  • Conducted by a sole arbitrator mutually agreed upon by both parties.
  • Held in English language.
  • Conducted in Ahmedabad, Gujarat, India.
  • Final and binding on both parties.

12.3 International Merchants While these Terms are governed by Indian law, Xavier Apps acknowledges its obligations to comply with applicable local laws in jurisdictions where merchants operate, to the extent required by law.

12.4 Exception for Injunctive Relief Nothing in this section shall prevent either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction where necessary to protect intellectual property rights or confidential information.
